BF Board Senior Independent Director – Role Description

The BF Board will appoint one of its independent non-executive directors to be the Senior Independent Director.

Over and above the standard Board Director Role, the Senior Independent Director has these additional responsibilities:

  1. providing a sounding board for the chair;
  2. serving as an intermediary for the other directors when necessary;
  3. acting as an alternative contact for stakeholders to share any concerns if the normal channels of the chair or the organisation’s management fail to resolve the matter or in cases where such contact is inappropriate;
  4. manage succession planning for the chair;
  5. attending sufficient meetings with major stakeholders (members, funding bodies) to obtain a balanced understanding of their issues and concerns; and
  6. leading on the process to appraise the chair’s performance;
  7. deputising for the chair if the chair is temporarily/unexpectedly absent.
